Agreement - The Parties Agree as follows:

1. SERVICES: The Contractor will perform the Security Services described below (collectively, the "Services")
- Retail Uniform Security Services
- Retail Store Detective
- Internal Warehouse Security Services
- Static or Patrol Services
- Dog Patrol (Exceptions may occur and the client will be notified)
- Investigation Services

4. Payment Terms: The Client agrees to pay the Contractor for the services the below detailed hourly rate, plus VAT

Bank Holiday Days will be charged above the normal agreed rate as follows
Payment(s) shall be paid in the following manner: On Receipt of invoice submitted by the Contractor, the Client agrees to pay in full within 30 days of the date of the invoice. Payment will be vi Bank Transfer to the Contractors chosen bank account.

6. The term of this agreement will begin on the blow date and shall continue until terminated by either party, under the terms of this agreement. Termination requires the terminating Part to give prior written notice to the other party. Electronic (Email) notification will be accepted as written notice.
7. Termination Notice: Any notice required to be given to either party under this agreement shall be sent via registered post or Electronic email to the appropriate address (7 King Street, Westhoughton, BL5 3AX - Email: info@kssnwltd.co.uk)
8. General Provisions: a. All work will be conducted and completed in a professional manner and if applicable, in compliance with applicable laws. b. To the extent required by law, all work shall be performed by individuals duly licensed and authorised by law to perform the work c. Contractor warrants that it is adequately insured for injury to its employees and others incurring loss or injury as a result of the acts of the Contract or its employees / agents d. In the event the Client shall fail tom pay any periodic or instalment payment due hereunder, the Contractor may cease work without breach, pending payment or resolution of dispute and charge interest on the outstanding payments. e. Contractor shall not be liable of any delay due to circumstances outside its control. f. Contractor is an independant contractor and not an employee of the Client. g. Any changes to this agreement document must be signed by both parties. h. The Client cannot and will not solicit any employee of the Contractor, to work directly for them. Neither will the Client employee the services of any employee or representative of the Contractor during the contract period and for a period of not less than 12 months after its cessation for any reason, unless both Parties agree and sign a separate agreement. i. The Contractor cannot be held financially responsible for any losses incurred through theft or associated crime during the hours of operation and cover provided. j. The Contractor cannot be held financially responsible for any days they do not or are unable to provide cover. k. This agreement shall be construed in accordance with the laws of England and Wales. l. The Headings of sections herein are for convenience only and shall not affect the meaning of the provisions of this Agreement. m. This Agreement constitutes the entire agreement between the Client and the Contractor and supersedes any prior understanding or representation of any kind preceding the date of this agreement. There are no other promises, conditions, understandings or other agreements, whether oral or written, relating to the subject matter of the Agreement.
